1. Acceptance of Terms
Welcome to Eximly (“we,” “our,” or “us”). By accessing or using our export-import management platform available at eximly.in (the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Platform.
These Terms constitute a legally binding agreement between you (whether an individual or an entity) and Eximly. By creating an account, subscribing to a plan, or otherwise using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms along with our Privacy Policy.
2. Description of Service
Eximly is a comprehensive trade operations platform designed for Indian exporters and importers. The Platform provides 50+ modules covering the full spectrum of export-import management, including but not limited to:
- Order & Shipment Management: Create and track export/import orders, manage shipment lifecycles, and coordinate logistics across sea, air, and land freight.
- Document Generation: Auto-generate trade documents such as commercial invoices, packing lists, bills of lading, certificates of origin, and shipping bills.
- ICEGATE & DGFT Integration: Synchronise shipping bill data with ICEGATE (Indian Customs EDI Gateway) and track DGFT (Directorate General of Foreign Trade) licence obligations, MEIS/RoDTEP entitlements, and compliance status.
- Financial Tracking: Manage letters of credit, bank realisations (BRC), foreign remittances, FIRC reconciliation, and RBI compliance reporting.
- Buyer & Vendor Management: Maintain directories of international buyers and domestic vendors with full contact and transaction history.
- Analytics & Reporting: Dashboards, MIS reports, export performance analytics, and custom report generation.
We continuously improve and expand the Platform. We reserve the right to modify, suspend, or discontinue any feature or module with reasonable notice.
3. Account Registration
To use the Platform, you must create an account and provide accurate, complete, and current information. This includes:
- Company Details: Your company name, registered address, IEC (Importer-Exporter Code) issued by DGFT, and GSTIN.
- Personal Details: Name, email address, phone number, and designation of the account administrator.
- Team Members: You may invite team members to your company workspace. You are responsible for managing their access levels and ensuring they comply with these Terms.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at eximly.in@gmail.com if you suspect any unauthorised use of your account.
4. Subscription & Payment
Eximly offers subscription-based plans with the following terms:
- Free Trial: New accounts are eligible for a 30-day free trial with access to all Platform features. No payment information is required during the trial period.
- Pricing: All subscription plans are priced in Indian Rupees (INR). Current pricing is displayed on our website and may be updated from time to time with prior notice.
- Payment Methods: We accept payments via UPI, Net Banking, credit cards, and debit cards through our authorised payment gateway.
- GST Invoices: We will issue GST-compliant tax invoices for all subscription payments. GST will be charged at the applicable rate in addition to the subscription fee.
- Billing Cycle: Subscriptions are billed on a monthly or annual basis depending on your chosen plan. Annual plans are billed upfront for the full year.
- Refunds: Monthly subscriptions are non-refundable. Annual subscriptions may be eligible for a pro-rata refund within the first 30 days of purchase, subject to our discretion.
5. Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. Specifically, you shall not:
- Use the Platform to facilitate, document, or manage any illegal trade activities, including the import or export of prohibited or restricted goods in violation of Indian law or international regulations.
- Engage in trade with sanctioned countries, entities, or individuals as designated by the United Nations, the Government of India, or other applicable sanctions authorities.
- Upload or submit false, misleading, or fraudulent trade data, documents, or information to the Platform.
- Attempt to gain unauthorised access to other users’ accounts, data, or any part of the Platform’s infrastructure.
- Use the Platform in any manner that could disable, overburden, damage, or impair our servers or interfere with any other party’s use of the Platform.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform.
You are solely responsible for ensuring that your use of the Platform complies with all applicable laws, including but not limited to the Foreign Trade (Development & Regulation) Act, Customs Act, FEMA, and all DGFT and RBI regulations.
6. Intellectual Property
The Platform, including its source code, design, logos, trademarks, documentation, APIs, and all related content, is the exclusive property of Eximly and is protected by Indian and international intellectual property laws.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business operations during the term of your subscription. You may not sublicence, resell, or redistribute access to the Platform.
7. Data Ownership
You retain full ownership of all trade data, documents, and information that you upload, create, or generate on the Platform (“Your Data”). Eximly does not claim any ownership rights over Your Data.
By using the Platform, you grant Eximly a limited licence to host, store, process, and display Your Data solely for the purpose of providing and improving our services. We will not share, sell, or disclose Your Data to third parties except as required to operate the Platform (e.g., ICEGATE synchronisation) or as required by law.
You may export Your Data at any time using the Platform’s built-in export features. Upon termination of your account, you will have a 30-day window to export Your Data before it is permanently deleted from our systems.
8. Service Availability & SLA
We strive to maintain high availability of the Platform and target an uptime of 99.9% measured on a monthly basis, excluding scheduled maintenance windows. However, we do not guarantee uninterrupted access.
The Platform may be temporarily unavailable due to:
- Scheduled maintenance, which we will communicate in advance whenever possible.
- Unscheduled downtime caused by factors beyond our reasonable control, including internet outages, third-party service failures (e.g., ICEGATE or DGFT downtime), natural disasters, or force majeure events.
- Emergency security patches or critical updates required to protect user data.
We will make commercially reasonable efforts to notify affected users promptly during any service disruption and provide status updates until the issue is resolved.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Eximly and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities.
- Loss of data or data corruption.
- Delays in customs clearance or trade operations arising from Platform downtime or errors.
- Penalties imposed by regulatory authorities (DGFT, Customs, RBI) due to reliance on Platform-generated data or documents.
- Losses arising from third-party service failures or integrations.
In no event shall our total aggregate liability exceed the amount you paid to Eximly in subscription fees during the twelve (12) months immediately preceding the event giving rise to the claim.
You acknowledge that the Platform is a tool to assist your trade operations and does not constitute legal, financial, or customs advisory services. You are solely responsible for verifying the accuracy of all documents and data before submission to any authority.
10. Termination
Either party may terminate this agreement at any time:
- By You: You may cancel your subscription and close your account at any time from your account settings. Cancellation takes effect at the end of your current billing cycle.
- By Eximly: We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or fail to pay subscription fees after reasonable notice.
Upon termination, you will have a 30-day data export window to download all of Your Data using the Platform’s export tools. After this 30-day period, we will permanently delete Your Data from our active systems. Some data may be retained in encrypted backups for up to 90 days before being purged completely, or longer if required by law.
11. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-law provisions.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Krishnagiri, Tamil Nadu, India. Both parties consent to the personal jurisdiction of these courts and waive any objection to the venue.
12. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or through a prominent notice on the Platform at least 15 days before the changes take effect.
Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform and close your account.
